Acceptance of the Terms of Use

Any order placed by you in the manner described in this site is an offer by you to purchase a particular product or service for the price (including the delivery and other charges) specified on this site at the time you place your order. You acknowledge that, by placing your order, you are agreeing to pay for and accept delivery of the goods ordered unless you ask us to cancel that order, and we send you written confirmation of the cancellation prior to the goods being dispatched to you, subject to your compliance with any product-specific limitations shown on this website.

Printing Direct may change the prices published on the Online content at any time. Prices of products placed in the 'basket' but not paid for are also subject to change and you agree to pay the price current at the time of payment. While every effort has been made to ensure the accuracy of prices, images and information displayed on this site, Printing Direct is not responsible for any error and reserves the right to accept or reject your offer for any reason, including without limitation, the unavailability of any product, an error in the price, image or the product description posted on this Online content, or an error in your order. We may require additional verification or information before accepting any order. We only accept orders from within New Zealand.

Your use of this Site is subject to these Terms of Use. You acknowledge that these Terms of Usage and any additional guidelines, limitations, or rules that may be posted in connection with particular sections or services of this site will apply to your access to and use of this site. All such additional posted guidelines, limitations, or requirements are hereby included by reference in these Conditions of Use.

Printing Direct retains the right to make modifications to this website and these Conditions of Use at any time and without prior notice. Every time you access this site, you should read these Conditions of Usage.

You also consent to us having the right to send you any legal notifications or communications through email to the email address you gave to us during registration on our website, or by publishing them on our website at our discretion. Contact customer service at info@printingdirect.co.nz to withdraw your permission to receive communications from us electronically. But, you must stop using your account if you decide not to accept our communications in this manner going forward.


Reservations

All orders are subject to Printing Direct's acceptance. We reserve the right to reject any order at any time without recourse.

Credit Card

For all online credit card payments, the buyer's statement will include our legal business name, Printing Direct.

Printing Direct will not carry out the order if the buyer's credit card is rejected. In the event that the purchase is shipped and the buyer's account is late, the buyer consents to pay a 2% monthly finance charge (an annual percentage rate of 24%) on the outstanding balance. The Buyer agrees to cover reasonable attorney fees and costs in the event that Printing Direct must file a lawsuit to enforce any provisions of this agreement.


Limitation of Liability:

For incidental or consequential damages originating from or arising out of anyone's performance or nonperformance of our responsibilities, Printing Direct will not be liable in contract or in tort (including negligence) to the client.

Any type of monetary losses, costs, fees, damages, and/or other economic damages are not the responsibility of Printing Direct. The buyer acknowledges and agrees that they will not hold Printing Direct liable for any and all loss, cost, expense, and damages (including attorney's fees) resulting from any and all allegations that the work in question violates any copyrights, trademarks, service marks, is scandalous, or otherwise violates anyone's right to privacy or other personal rights.

General

1. COLOUR PROOFS: There is no guarantee that production prints will exactly match colour proofs because of variations in proof preparation methods and substrates. The supplier will however use its best endeavours to provide a commercially acceptable finished product.

2. PROOF APPROVAL: The supplier is not liable for errors in the finished work where a proof has been submitted to and approved by the customer.

3. ELECTRONIC IMAGES AND/OR FILES:  It is the customers responsibility to retain a copy of any image or file supplied.

4. QUANTITY: Every effort shall be made by the printer to deliver the quantity specified.

5. CLAIMS:  Complaints regarding finished goods must be received by the supplier within a reasonable time. What is a “reasonable time” will depend on the circumstances of each case.

6. RETURNS AND REFUND: Due to the nature of the product, no refund can be made once the order is processed. Any claims for defects, damages, or shortages must be made in writing within 24 hours after receipt of the merchandise. We will not replace the order if it is determined by us that the order was misused or mishandled by the buyer or part of the order was used by the buyer and part of the order is being returned.

7. ILLEGAL OR LIBELLOUS MATERIAL: The supplier is not required to reproduce any material that is, in the suppliers opinion, illegal or libellous in nature or that is in breach of any statute. The supplier will be indemnified by the customer in respect of any and all claims, costs, and/or expenses arising out of any libel or breach of statute or infringement of copyright, patent or design.

8. SUPPLIER’S LIABILITY:  Where the customer is a company or a person in trade the Consumers Guarantee Act 1994 will not apply. The supplier will not be liable for any indirect or consequential loss to the customer arising from third party claims occasioned by errors in the work or by delay in delivery. No warranty is given or responsibility accepted by the supplier to ensure that goods produced comply with the requirements of any legislation relating to the marking and/or labelling, and/or packaging of goods. Compliance with any such legislation is the customers responsibility. No guarantee is given that the goods supplied to the customer are fit for any purpose not made known to the supplier. The supplier shall not be responsible for any delay, default, loss or damage due to any industrial disputes, accidents, acts of God, equipment failure

9. Click & Collect Orders: After notification is sent that a click & collect order is ready for collection Printing Direct will hold your order for a maximum of 15 days. If not collected within this timeframe Printing Direct will securely dispose of.

10. Member Conduct:

Users of the Service, whether or not Members, may not use the Service to Process Prohibited Content. Generally, Prohibited Content includes Content or other material that Printing Direct believes:

  • Is abusive, deceptive, pornographic, obscene, defamatory, slanderous, offensive, or otherwise inappropriate;
  • Comprises copyrighted material used without the express permission of the owner;
  • Violates or otherwise encroaches on the rights of others including their right to privacy;
  • Contains viruses, worms, corrupt files, Trojan horses or other forms of corruptive code, or any other content which may compromise the Service (collectively “Corruptive Code”);
  • Advocates illegal activity;
  • Harms anyone, including minors; or,
  • Provides a link to any of the above;

Printing Direct has the sole discretion to determine whether Content is Prohibited Content, and any Content submitted to the Service may be subject to examination from time to time.

Although Printing Direct does not and will not examine or otherwise review all Content submitted or transmitted to the Service, Printing Direct, having determined whether the Content is considered Prohibited Content, may decline to complete the Service in its sole discretion and either delete, move, or edit Content for any reason, at any time, without notice.

All Content (whether private or public) that is Processed on the Site is the sole responsibility of the person who submitted it. Thus, you are responsible for your Content. You may only upload Content where you have the consent of all persons pictured, including through your relationship with those persons.

Printing Direct in no way guarantees the accuracy, quality or appropriateness of Content available through the Service.

11. Disclaimers

  1. Whilst we have taken all due care in providing the information on our website, we do not provide any warranty either express or implied including without limitation warranties of title or implied warranties of merchantability or fitness for a particular purpose.
  2. To the extent permitted by law, any condition or warranty which would otherwise be implied into these terms and conditions is excluded.
  3. We also take all due care in ensuring that our website is free of any virus, worm, Trojan horse and/or malware, however we are not responsible for any damage to your computer system which arises in connection with your use of our website or any linked website.
  4. From time to time we may host third party content on our website such as advertisements and endorsements belonging to other traders. Responsibility for the content of such material rests with the owners of that material and we are not responsible for any errors or omissions in such material.

12. Limitation of Liability

  1. To the full extent permitted by law, our liability for breach of an implied warranty or condition is limited to the supply of the goods and/or services again or payment of the costs of having those goods and/or services supplied again.
  2. We accept no liability for any loss whatsoever including consequential loss suffered by you arising from product/s we have supplied.

13. Indemnity

By accessing our website, you agree to indemnify and hold us harmless from all claims, actions, damages, costs and expenses including legal fees arising from or in connection with your use of our website.

14. Force Majeure

If a Force Majeure event causing delay continues for more than thirty (30), we may terminate this Agreement by giving at least seven (7) Notice to you. “Force Majeure” means any act, circumstance or omission over which we could not reasonably have exercised control.

15. Jurisdiction

  1. New Zealand law governs all of the terms and conditions as well as any phone or online transactions conducted via www.reprographics.co.nz. These terms and conditions are to be governed by and construed in accordance with the laws of New Zealand and any claim made by either party against the other which in any way arises out of these terms and conditions will be heard in New Zealand and you agree to submit to the jurisdiction of those Courts.

  2. If any provision in these terms and conditions is invalid under any law the provision will be limited, narrowed, construed or altered as necessary to render it valid but only to the extent necessary to achieve such validity. If necessary the invalid provision will be deleted from these terms and conditions and the remaining provisions will remain in full force and effect.

  3. Printing Direct is not liable for any delays or damages caused by mishaps with the equipment, divine intervention, or other extra-governmental events like war, riot, seizure, or embargo. The document production tools found on www.reprographics.co.nz are the property of Printing Direct and its affiliated companies. The Buyer's submission of an order constitutes acceptance of the Seller's conditions. The terms and conditions shall be governed in all respects by New Zealand law.

16. Privacy

  1. We undertake to take all due care with any information which you may provide to us when accessing our website. However we do not warrant and cannot ensure the security of any information which you may provide to us. Information you transmit to us is entirely at your own risk although we undertake to take reasonable steps to preserve such information in a secure manner.

  2. Our compliance with privacy legislation is set out in our separate Privacy Policy which may be accessed from our home page.

17. Quantity Variation

We shall be deemed to have fulfilled our contract by delivery of a quantity within 5% plus or minus of the quantity of printed goods ordered and you will be charged at the contract rate for the quantity delivered.

18. Claims

a)     Claims arising from damages, delay or partial loss in transit must be made in writing to us, so as to reach us within 5 days of delivery.

b)     All claims with regard to the quality or quantity of the goods shall be made in writing to us so as to reach us within 5 working days of receipt of goods or such goods shall be deemed to comply as to quality and quantity within the terms of the contract.

c)     You must examine all goods delivered at the time of delivery. We shall not be liable for any loss arising from damage caused to the goods in transit unless loss or damage is noted on the delivery note at time of delivery.

d)     Claims in respect of non-delivery must be made in writing so as to reach us within 4 days from receipt of our invoice.

e)     Printing Direct requires any printing to be returned in full before agreeing to reprint. If Printing Direct deem the printing to be of sufficient quality, and within tolerance we reserve the right to return the goods and refuse a reprint or refund.

19. Liability

a)     Save in so far as defects in the goods cause death injury or damage to personal property, our liability for any loss or damage suffered by you in respect of the goods shall be limited to the contract value of the goods.

b)     We can accept no responsibility for loss or damage arising from the supply of goods under this contract unless you have fully complied with the notification of claims procedure set out in clause 25.

c)     We are not liable for any financial loss incurred by you, including but not limited to expenses incurred by you, interest payments & loss of earnings or similar gainsyou would have received on monies paid to us in lieu of any unfulfilled order.

d)     Nothing in these terms and conditions shall affect the rights of a consumer

20. Refunds

a)     We Reserve the right to rectify defective work by reprinting and shall not be liable to refund.

b)     Printing Direct will credit your account if we deem a refund should be made.

c)     If we offer to replace you must accept such an offer unless you can show clear cause for refusing to do so.

d)     If you do opt to have work re-done by a third party without reference to us you automatically revoke your right to any remedy from us.

e)     All defective work must be returned to us before replacement, if the subject work is not available we will assume that it has been accepted and no replacement will be provided.

f)      Refunds will take 3 to 4 working days to complete once Printing Direct has agreed to refund. This cannot be completed any faster.

21. Cancellation charges:

Any costs incurred for work already carried out up to the date of written cancellation will also be charged for and deducted before any refunds are made. If the order has not yet been paid for then an invoice will be raised for the amount concerned and sent to the responsible party

22. Quantity Changes to Orders

Any changes in quantity ordered must be made in writing to us prior to commencement of processing. Any increases in the order must be regarded as a separate contract unless written notification is received before work commences on the original order.

23. Artwork and Printing

a)     The entire copyright throughout the world in all printing plates, litho positives and negatives, artwork, designs, photographic transparencies, negatives or positives and any other artistic craftsmanship made by or for Printing Direct pursuant to or in implementation of any contract with the customer shall belong to Printing Direct Printing Direct agrees that unless the customer becomes in default of any obligation to make any payment to Printing Direct, it will not reproduce any such items for any competitor in business of the customer.

b)     All artwork is printed using CMYK unless otherwise requested by the customer. Such a request will incur an additional fee.

c)     All design charges must be paid upfront. 

d)     We charge $40 plus GST for our logo design service for the first 4 proofs. We then charge $100 plus GST an hour for any changes after that.

e)     Once your design project is initiated and any preliminary artwork has been created by Printing Direct, all retainer payments made by you become non-refundable.

f)       Once you have placed your order, you have one hour to make changes to the artwork you have supplied, after this time you will become liable to charges if you need to amend or supply new artwork.

g)     We only quote for one design per kind, any additional are chargeable.

h)     We will print the order before payment has been made, unless otherwise specified by Printing Direct.

24. Proofs

a)     Please note that the colour of the printed item will be affected by the type of material chosen for the artwork to be printed on, as well as any applied Lamination or Varnish.

b)     Please read thoroughly as all proofs, once passed, are deemed correct and ready to go to print, and the responsibility passes to the customer. You will need to view all PDF proofs at 100% to see the exact size of your product when printed.

c)     We will not be held responsible for any mistakes, viewing, spelling, punctuation, contact details or layout. We will not commence print until we have received a copy of the final proof with a written confirmation to go to print either by email, fax or post.

d)     Proofs are NOT supplied as standard. Proofs must be requested by the person ordering at the time of ordering in writing, verbal confirmation will not be accepted.

25. Complaints

Complaints must be made within 48 hours of receiving your goods. Any complaints made after this time period are void of any right to refund or reprint
